Conversion of preferred and savings shares into ordinary shares

EXOR announces that the period for the exercise of the withdrawal right has expired and that the withdrawal right was validly exercised in relation to no. 50 preferred shares (for a total amount of € 848.60) and no. 5,138 saving shares (for a total amount of € 86,827.06).The conditions precedent, approved by the Extraordinary General Meeting of March 20 2013, have been satisfied; the conversions will therefore be executed on or after the ex-dividend date (June 24, 2013) in order to allow the preferred and savings shareholders to receive the dividends owed with respect to the 2012 financial year. The effective date of the conversions will be communicated in accordance with the applicable laws.As previously communicated, the conversions were conditional upon the cash amount to be paid by the Company pursuant to Article 2437-quater of the Italian Civil Code to the withdrawing shareholders not exceeding €80 million in the case of preferred shares and €20 million in the case of savings shares, provided that the conversion of both classes of shares would have nevertheless become effective if the aggregate cash amount to be paid by the Company pursuant to Article 2437-quater of the Italian Civil Code for the exercise of the withdrawal right had not exceeded €100 million.The preferred and savings shares in respect to which the withdrawal right has been exercised will be offered in pre-emption (to the shareholders) pursuant to terms and procedures that will be indicated in a notice to be published in accordance with Article 84 of the Consob Issuer Regulation.
